¡¾Examination & Approval Procedures¡¿

¡¾Documents Required¡¿

1. The Project Application Report submitted shall contain following contents:

¡¡¡¡¢ñ.Project name; business operation term; the general background of investors.
¡¡¡¡¢ò.Project construction scale; main construction contents and products, major technical and techniques employed; targeted markets; planned employee amount.
¡¡¡¡¢ó.Project construction site; demands in land, water, energy and other resources; and consumption volume of major raw materials.
¡¡¡¡¢ô.Environmental impact assessment.
¡¡¡¡¢õ.Prices involving public products and services.
¡¡¡¡¢ö.Total investment; registered capital and capital contribution amounts of each party; form of capital contribution and fund-raising plan; imported equipments and the total amount.

2. ?The Project Application Report submitted shall be attached with following documents:

¡¡¡¡¢ñ.Business License of each party; audited latest Financial Statements (balance sheet, income statement , cash flow statement ).
¡¡¡¡¢ò.Letter of Intent for Investment; resolutions of the board of directors regarding merger project.
¡¡¡¡¢ó.Letter of Intent for Fund-Raising provided by bank.
¡¡¡¡¢ô. Letter of Opinions on Environmental Impact Assessment issued by the environment protection administration department.
¡¡¡¡¢õ. Letter of Opinions on Construction Site-Selection issued by planning administration department.
¡¡¡¡¢ö. Letter of Opinions on Preliminary Examination of the Land Used for Construction Projects issued by land and resources administration department.
¡¡¡¡¢÷. Confirmation documents issued by relevant administration departments where the capital contribution involves state-owned Assets or land-use right.

Notes:Above examination & approval procedures are only applicable to the projects required to be examined and approved by provincial Development & Reform Commission; for other projects, documents shall be submitted directly to the provincial Foreign Trade and Economic Cooperation Bureau by the Administrative Commission of the zone. The procedures will be varied according the nature of the projects.

3. Contract, Articles of Association: submit the Application Report for Establishing Foreign-Funded Enterprise to the Administrative Commission of the zone for examination and approval.

¡¡¡¡¢ò. Appointment Letters of investment parties (lists of chairman, vice-chairman and members of the board of directors )
¡¡¡¡¢ó. Recommendation Letters of investment parties (lists of general manager and deputy general manager).
¡¡¡¡¢õ. The Notification of the Company's Name Pre-Approval for foreign-funded enterprise issued by the Administration for Industry and Commerce.
